Terms of Service

1. Service Definition

This agreement covers ColdGenius's artificial intelligence-powered outreach platform for marketing and sales via email through ColdGenius's service. By using our service, you agree to these terms.

2. License & Restrictions

ColdGenius grants you a non-exclusive, non-transferable, non-sublicensable license for internal business use. You may not:

  • Reverse engineer any aspect of the service
  • Resell or redistribute the service
  • Use the service to develop competing products
  • Attempt to gain unauthorized access to any systems
  • Use the service for any illegal purpose
  • Send unsolicited bulk communications (spam)

3. Data Ownership

3.1 Intellectual Property

ColdGenius retains all intellectual property rights to the Service, including all software, algorithms, and documentation.

3.2 Customer Data

You own your Customer Data and Performance Data. ColdGenius may use aggregated, de-identified Performance Data for service improvements and marketing purposes.

3.3 Logo & Publicity

By using the Service, you grant ColdGenius a limited, non-exclusive, royalty-free license to use your company name and logo on ColdGenius's website and marketing materials to identify you as a customer. You may revoke this license at any time by contacting us at daniel@coldgenius.ai.

3.4 AI Training

ColdGenius shall not use any Customer Data to train any artificial intelligence or machine learning models without explicit consent.

4. Fees & Payment

4.1 Credits

Credits are non-refundable. Unused credits do not roll over between billing periods unless otherwise specified in your plan.

4.2 Billing

Invoicing occurs monthly in advance. Late payments incur 1% monthly interest. Service access may be suspended if payment is 5 or more days overdue.

4.3 Price Changes

ColdGenius may change pricing with 30 days notice. Continued use after the change constitutes acceptance of new pricing.

5. Acceptable Use

You agree not to use the service to:

  • Send spam or unsolicited bulk communications
  • Harass, abuse, or harm others
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute malware or harmful code
  • Interfere with or disrupt the service
  • Attempt to gain unauthorized access to accounts or systems

Violation of these terms may result in immediate suspension or termination of your account.

6. Termination

6.1 Termination for Breach

Either party may terminate for material breach with a 30-day cure period. Violations of acceptable use policies enable immediate termination.

6.2 Effect of Termination

Upon termination, your access to the service will cease. You may request export of your data within 30 days of termination. After this period, ColdGenius may delete your data.

7. Disclaimers & Limitations

7.1 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. COLDGENIUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Liability

COLDGENIUS'S LIABILITY IS LIMITED TO AMOUNTS PAID IN THE PRECEDING 12 MONTHS. COLDGENIUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Indemnification

You agree to indemnify and hold harmless ColdGenius from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any rights of another party.

9. Governing Law

These terms are governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

10. Changes to Terms

ColdGenius may modify these terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance of the new terms.
